Licensor: DOODLEDESK PRIVATE LIMITED, India, trading as The Doodle Desk and SVGZO

For model training and commercial AI products on a production line or a full Dataset.

1. DEFINITIONS
"Dataset" means the SVG files, metadata, previews, manifests and documentation identified in the order or sample record, in the version delivered.
"Asset" means one SVG file in the Dataset together with its metadata row.
"Model" means any machine-learning model, weights, embeddings, index or derived statistical artefact produced in whole or part by processing the Dataset.
"Training" means training, pre-training, fine-tuning, evaluating, benchmarking, validating or otherwise processing the Dataset to build or improve a Model.
"Outputs" means content generated by a Model.
"Reconstructable" means that an Asset, or a substantial portion of it, can be extracted from a Model or its Outputs in substantially the original form other than by incidental memorisation.
"Fonts" means the typefaces embedded in or referenced by Assets, each under its own author's licence as listed in NOTICES/.

2. GRANT
Licensor grants Licensee a non-exclusive, non-transferable (except to a successor of the whole business), perpetual, worldwide licence to use the Dataset for Training and to develop, deploy and commercialise Models and Outputs.

3. MODELS AND OUTPUTS
Licensee owns its Models, weights, embeddings and Outputs and may use them for any lawful purpose, including commercial use, and may sublicense Models provided the Dataset itself is not made available, exposed or Reconstructable. Incidental memorisation of fragments that occurs despite reasonable mitigation is not a breach.

4. CONTRACTORS AND CLOUD
Licensee may give access to contractors and cloud providers acting on its behalf under written confidentiality terms at least as protective as this licence, for the sole purpose of exercising Licensee's rights. Licensee remains responsible for them.

5. VERSIONS AND UPDATES
The licence covers the delivered version. Later versions are licensed by separate order. Licensor publishes a changelog and SHA-256 sums for every release.

6. LIMITS
(a) No redistribution, resale or sublicensing of the Dataset or Assets, in whole or part, in original or transformed form, other than embedded in a non-Reconstructable Model.
(b) No use of Assets as content in a product (for example as templates offered to end users); the licence is for Training.
(c) No biometric, surveillance or real-person inference use.
PROHIBITED IN EVERY TIER
(a) Redistributing, reselling, sublicensing, publishing or making the Dataset or any Asset available to a third party, except as the tier expressly permits.
(b) Building a Model that is Reconstructable, or offering a service whose purpose is to reproduce Assets.
(c) Training a font-generation model on the Fonts, or extracting the Fonts for use other than rendering the Assets. A font produced from OFL sources is a derivative that must remain under the OFL; Licensor grants no rights in the Fonts beyond their own licences.
(d) Removing or altering the SVGZO asset identifiers, the NOTICES/ directory, or the licence and copyright notices inside Assets.
(e) Using the Dataset to identify, profile or make decisions about natural persons, or for biometric purposes. The Dataset contains no real persons or real organisations; any resemblance in Outputs is coincidental and outside the licence.
(f) Representing the Dataset's placeholder figures, names or statistics as real-world facts.

PROVENANCE STATEMENT (incorporated by reference)
Assets are composed, created and processed into SVG from source files by The Doodle Desk's team and network of creators. Every figure, name and caption is a written placeholder. No real organisation, person or measurement appears. A per-asset manifest, a Croissant 1.0 manifest and a paragraph suitable for the EU AI Act general-purpose model training-content summary are delivered with the Dataset.

COMPLIANCE SUPPORT
Licensor supplies the per-asset provenance manifest, Croissant-RAI metadata and a training-content summary paragraph, and will answer reasonable written questions from Licensee's compliance team about the Dataset's origin for the term of the licence.

WARRANTY AND LIABILITY
Licensor warrants that it has the right to grant this licence and that, to its knowledge at delivery, the Assets do not infringe third-party copyright. The Dataset is otherwise provided "as is". Licensor does not warrant fitness for any model, accuracy of placeholder content, or compliance of any depicted design or floor plan with any building code or standard. Except for the chain-of-title warranty above, Licensor's total liability under this licence is limited to the fees paid for the Dataset. Nothing excludes liability that cannot be excluded by law.

GENERAL
Term: perpetual for the delivered version unless terminated for material breach uncured within 30 days of notice. On termination Licensee deletes the Dataset; Models already trained may continue to be used unless the breach concerned Reconstructable Models.
Taxes: fees exclude GST and other taxes. Indian buyers are charged GST at the applicable rate; export supplies are zero-rated under the Integrated GST Act.
Governing law and venue: to be confirmed by counsel (India, with an option for Singapore arbitration for non-Indian licensees, is proposed).
Publicity: neither party names the other publicly without written consent.
Entire agreement: this licence, the order and the delivery manifest.
